1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of ZenDays ("the Service"), a web application available at https://app.zendays.com.

The Service is operated by Forzeit Ltd ("we", "us", "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Account Registration

To use the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised access to your account
• Accept responsibility for all activity that occurs under your account

You must be at least 18 years of age to create an account and use the Service. We reserve the right to refuse registration or suspend accounts at our discretion.

3. Subscription and Payment

The Service is offered on a subscription basis, typically following a free trial. By subscribing, you agree to the following:

• Billing: Subscription fees are charged on a recurring basis (monthly or annually, depending on the plan you select) via Stripe, our payment processor
• VAT: All fees are exclusive of VAT, which will be added at the applicable rate where required
• Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date
• Price Changes: We reserve the right to adjust subscription pricing. We will provide at least 30 days' notice of any price increase, and the new price will take effect at the start of your next billing period

Payment is processed securely by Stripe. We do not store your credit card details. For information on how Stripe handles your payment data, please see Stripe's Privacy Policy.

4. Cancellation and Refunds

You may cancel your subscription at any time through the application or by contacting us at max@zendays.com.

• Effective Date: Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date
• Data Retention: After cancellation, your account data is retained for 3 months to allow you to reactivate your subscription. After this period, your data may be permanently deleted
• Refunds: Subscription fees are non-refundable. No partial refunds are provided for unused portions of a billing period

5. Acceptable Use

You agree to use the Service only for its intended purpose — weekly planning, task and goal management, and reviewing your own execution for personal and professional productivity. You must not:

• Resell, sublicense, or provide access to the Service to third parties without our written consent
• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to reverse-engineer, decompile, or extract the source code of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Use automated tools, bots, or scripts to access the Service except through our provided interfaces
• Upload or transmit malicious code, viruses, or any other harmful content

We reserve the right to suspend or terminate your account if we reasonably believe you are in breach of these terms.

6. Intellectual Property

Our Property

The Service, including its design, code, features, documentation, and branding (including the ZenDays name, logo, and "Human Programming" trademark), is owned by Forzeit Ltd and is protected by intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use the Service as described herein.

Your Content

You retain ownership of all data, content, plans, tasks, goals, and notes you create or upload to the Service. We do not claim any ownership rights over your content.

By using the Service, you grant us a limited licence to store, process, and display your content solely for the purpose of providing the Service to you — including generating the weekly insights and feedback delivered by Ava, our AI assistant.

7. AI-Generated Content

The Service includes AI-powered features, most notably Ava, our AI assistant who breaks down your weekly execution rate and provides personalised feedback and suggestions. Regarding AI-generated content:

• Provided As-Is: AI-generated content (weekly reports, suggestions, summaries) is provided as-is without any warranty of accuracy, completeness, or fitness for a particular purpose
• Your Responsibility: You are solely responsible for any decisions you make on the basis of AI-generated content
• No Professional Advice: AI-generated content does not constitute professional, medical, legal, financial, or psychological advice
• No Guarantee: We do not guarantee that AI-generated content will produce any specific productivity, business, or personal outcome

8. Third-Party Services

The Service integrates with third-party services to provide its functionality. Your use of the Service is also subject to the terms and policies of these providers, which may include (without limitation):

• Stripe — payment processing — Stripe Services Agreement
• Google — OAuth authentication and calendar integration — Google Terms of Service
• AI providers — used to generate Ava's weekly feedback and suggestions

We are not responsible for the availability, accuracy, or practices of third-party services and accept no liability for any loss arising from their use.

9. Limitation of Liability

To the fullest extent permitted by law:

• The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied
• We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities
• Our total aggregate liability to you for any claims arising from or relating to these Terms or the Service shall not exceed the total fees paid by you in the 12 months preceding the claim

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

10. Service Availability

We aim to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance and updates
• Unplanned outages or technical issues
• Circumstances beyond our reasonable control

We will endeavour to provide reasonable notice of scheduled maintenance where possible. We shall not be liable for any loss or damage arising from service unavailability.

11. Termination

Either party may terminate this agreement at any time:

• By You: You may cancel your subscription and close your account at any time. Your access will continue until the end of your current billing period
• By Us: We may suspend or terminate your account immediately if you breach these Terms, or with 30 days' notice for any other reason

Upon termination, your right to use the Service ceases immediately (or at the end of the billing period, in the case of voluntary cancellation). We will retain your data in accordance with our Privacy Policy.

12. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we will notify you by email or through a prominent notice within the application at least 30 days before the changes take effect.

Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
